NAT Direct Sales Program Terms rev 091824
1. Appointment of Direct Seller:
NAT hereby appoints the applicant as the Company’s Independent Sales Representative (called Direct Seller or Affiliate), with the right to generate B2C Sales of Company’s products. B2C is defined as sales for residential, personal, and small business use. It explicitly does not include personal use sales, wholesale, sales to resellers, industrial use, or heavy commercial use.
2. Commissions:
The following shall govern the payment of commissions to the Direct Seller: The Direct Seller will use their unique company-issued coupon code to refer customers to NaturalAction.com and will be paid commissions. NAT has up to 90 days to approve a conversion transaction as being “Qualified.” “Qualified” conversion transactions are transactions that were found to be correctly attributed, calculated, credited, and enough time has passed to reduce the likelihood of a customer returning to where the company feels the transaction is complete. NAT does not pay commissions on transactions deemed for personal use, such as using the coupon code to order product for your own use. NAT reserves the right to change payout commission as stated herein and on the posted payout schedule per your dashboard at any time without notice. It is the Direct Sellers duty to regularly be aware of the terms, though NAT will send notification of changes in terms by email as a courtesy. Only qualified conversion transactions are eligible for payout. Any returns on transactions that were marked Qualified and/or paid out will be deducted from future commissions payments. The accounting/denoting of these adjustments are done at NAT’s discretion. Direct Seller must accumulate at least $451 in eligible commissions to be eligible for a payout.
3. Coupon Code Issuance:
NAT will issue two unique Coupon Codes to the Direct Seller that when used, will credit them with the sale. The two coupon codes are for: 10% off any order, no minimums. This is the default coupon for Direct Sellers to use. 20% off orders at or over $1499. Also, the coupon will not work on sale items unless you are notified. ($1499 minimum based on the pre-discount total) IMPORTANT NOTE: the 20% off coupon may not be advertised publicly. It may not be posted on Facebook, on websites, etc. It must be given via private communications via phone, email, etc. During company sales periods (Black Friday, 4th of July, etc…) OR on any item which is marked down to a sale price at any time, the Direct Seller may only use their 10% off coupon for referral sales to credit. The 20% coupon won’t work on sale items unless you are notified. Coupon codes may not be posted on Coupon Code or Deal oriented websites. They are intended for use in marketing efforts created by the Direct Seller, not to catch other NAT shoppers at the end of their buying cycle. Any coupon codes found on these sites will result in the codes being revoked and new codes issued in their place.
4. Payment of Earned Commissions:
Generally, in courtesy, NAT will calculate and send the Direct Seller total compensation after 60 days for the previous month’s activity. However, 90 day returns already paid with validation from NAT will be deducted from future payouts.
Exemptions: Only sales that have been processed and register in the system as delivered, which means any delays due to lead times, delivery, or any other circumstance, are subject to payout at discretion by NAT in verifiable terms by product delivery in the period of 90 days. A complete transaction is only defined by delivery of product to proper customer and NAT reserves the right to deduct credit or void payment pending verifiable circumstances. As general protocol, the system sees a complete transaction when shipped and enters into the sales record within your account and we will pay based on that criteria, the following month as stated herein (4) above. Direct Seller must accumulate at least $451 in eligible commissions to be eligible for a payout.
5. Territory focus:
While not strictly limited to the area, it is mutually understood that the Direct Seller’s primary focus will be generating sales in their local area, throughout their professional network, in any online communities they’re involved in, any trade shows or public exhibitions they do, and if applicable, through their professionally licensed wellness practice.
6. Independent Contractor:
It is understood that the Direct Seller is an independent contractor, and nothing contained in this Agreement shall be construed as appointing the Direct Seller as an employee of Natural Action. Correspondingly, it is understood that the Direct Seller is solely responsible for the payment of all taxes on commissions paid by NAT. It is agreed that the NAT shall do no withholding for income, self-employment, payroll or any other taxes. Moreover, nothing in this Agreement grants or authorizes either party to assume or to create any obligation, contract, or liability, express or implied, on behalf or in the name of the other. Furthermore, it is strictly understood that nothing contained herein shall serve to make the Direct Seller an agent of NAT, and any such relationship is hereby expressly disclaimed.
7. Costs & Expenses:
It is agreed that the Direct Seller shall bear all costs and expenses attendant to their own efforts to sell the NAT products, without reimbursement from the NAT, unless the parties shall otherwise mutually agree from time to time.
8. Termination:
This Agreement may be terminated by either party without cause, without advanced notice, for any reason. NAT will pay all currently due Qualified commissions up to the date of termination.

Interpretation
The words of which the initial letter is capitalized have
meanings defined under the following conditions. The following definitions
shall have the same meaning regardless of whether they appear in singular or in
plural.
Definitions
For the purposes of these Terms and Conditions:
Affiliate
means an entity that directly represents and promotes, sells, or otherwise acts
on the behalf of the Brand Trade: Natural Action Technologies; Natural Action
Tech; Natural Action; NAT
Country
refers to: Ohio, United States
Company
(referred to as either "the Company", "We", "Us"
or "Our" in this Agreement) refers to Natural Action Technologies

means any device that can access the Service such as a computer, a cellphone or
a digital tablet.
Service
refers to the Website.
Terms and Conditions
(also referred as "Terms") mean these Terms and

Social Media Service means any services or content (including data,
information, products or services) provided by a third-party that may be
displayed, included or made available by the Service.
Website
refers to natural action, accessible from naturalaction.com
You
means the individual accessing or using the Service, or the company, or other
legal entity on behalf of which such individual is accessing or using the
Service, as applicable.
Acknowledgment
These are the Terms and Conditions governing the use of this
Service and the agreement that operates between You and the Company. These
Terms and Conditions set out the rights and obligations of all users regarding
the use of the Service.
Your access to and use of the Service is conditioned on Your
acceptance of and compliance with these Terms and Conditions. These Terms and
Conditions apply to all visitors, users and others who access or use the
Service.
By accessing or using the Service You agree to be bound by
these Terms and Conditions. If You disagree with any part of these Terms and
Conditions then You may not access the Service.
You represent that you are over the age of 18. The Company
does not permit those under 18 to use the Service.
Your access to and use of the Service is also conditioned on
Your acceptance of and compliance with the Privacy Policy of the Company. Our
Privacy Policy describes Our policies and procedures on the collection, use and
disclosure of Your personal information when You use the Application or the
Website and tells You about Your privacy rights and how the law protects You.

Intellectual Property
The Service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of the Company and its licensors.
The Service is protected by copyright, trademark, and other
laws of both the Country and foreign countries.
Our trademarks and trade dress may not be used in connection
with any product or service without the prior written consent of the Company.
Links to Other Websites
Our Service may contain links to third-party web sites or
services that are not owned or controlled by the Company.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or
loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.
We strongly advise You to read the terms and conditions and
privacy policies of any third-party web sites or services that You visit.
Termination
We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.
Upon termination, your right to use the Service will cease immediately.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been
advised of the possibility of such damages and even if the remedy fails of its essential purpose.
Governing Law
The laws of the Country, excluding its conflicts of law rules, shall govern this Terms and Your use of the Service. Your use of the Application may also be subject to other local, state, national, or
international laws.
Disputes Resolution
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.
For European Union (EU) Users
If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident in.
United States Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist
supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
Severability and Waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.
Translation Interpretation
You agree that the original English text shall prevail in the case of a dispute.
Changes to These Terms and Conditions
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms
taking effect. What constitutes a material change will be determined at Our sole discretion.
By continuing to access or use Our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the Service.
